IMPORTANT NOTICE: These Terms of Use contain a mandatory arbitration clause and class action waiver (Section 18). Please read carefully. By using the Services, you agree to resolve disputes through binding individual arbitration.
1. Agreement to These Terms
These Terms of Use ("Terms") constitute a legally binding agreement between you ("you," "User," or "Contractor") and ServiceHelper, LLC ("ServiceHelper," "we," "us," or "our").
By accessing or using the ServiceHelper mobile application, website located at https://servicehelper.ai, or any related products or services (collectively, the "Services"), you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must discontinue use immediately.
2. Eligibility and Account Registration
- You must be at least 18 years old to use the Services.
- You agree to provide accurate, current, and complete information during registration and to keep your account information up to date.
- You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
- You agree to notify us immediately of any unauthorized access to or use of your account.
- AI-generated message drafts and recommendations
- Customer communication tools, including SMS and email outreach
- Contact management and integrations with third-party services
- Voicemail capture, call routing, and AI-generated transcription services
- You have obtained all legally required prior express written consents from each contact you upload, import, or message through the Services, including consent to receive automated or AI-generated text messages, as required by the Telephone Consumer Protection Act (TCPA), the CAN-SPAM Act, applicable state "mini-TCPA" laws, and all other applicable laws and regulations.
- Consent obtained for each contact is specific to your business and has not been shared with, sold to, bundled with, or inherited from any third party. As of January 26, 2026, FCC rules require that consent be specific to one identified seller and cannot be aggregated or transferred.
- You will not use the Services to send messages to contacts on the National Do Not Call Registry, contacts who have opted out or requested not to be contacted, or contacts who have not given legally sufficient, specific consent to receive automated messages from you.
- You will not upload contact lists that were purchased, rented, or obtained from third parties without verified, specific, one-to-one consent to receive messages from your business.
- You will honor all opt-out and STOP requests from your contacts, including those received outside the ServiceHelper platform. ServiceHelper's automated opt-out processing does not relieve you of the obligation to maintain your own opt-out records.
- You will not send messages outside the hours of 8:00 AM to 9:00 PM local time of the recipient, or outside any more restrictive hours required by applicable state law.
- AI-generated content is provided as a draft only. You are solely responsible for reviewing, editing, and approving any message before it is sent. ServiceHelper makes no warranty that AI-generated content will be accurate, free from errors, complete, or suitable for your specific business or customer relationship.
- By approving a message for sending, you represent that you have reviewed the content and take full responsibility for its accuracy, appropriateness, legal compliance, and any consequences arising from sending it.
- ServiceHelper is not responsible for customer disputes, legal claims, regulatory actions, or damages of any kind arising from messages you have approved and sent using the Services.
- AI drafts may contain inaccuracies, omissions, or content that is inappropriate for your specific situation. You must review every AI-generated message before sending.
- ServiceHelper does not claim ownership of messages you have approved and sent. You retain full responsibility for approved content.
- AI outputs do not constitute legal, professional, business, or financial advice.
- You are solely responsible for ensuring the voicemail capture feature is used in compliance with all applicable federal and state call recording laws, including laws in any state where your customers may be located. Many states — including California, Florida, Illinois, Pennsylvania, Maryland, and Washington — require the consent of all parties to a call to record it.
- You represent that you will provide any required disclosures and obtain any required consents from your customers prior to enabling voicemail capture and call recording.
- Voicemail transcriptions are generated by AI and may be inaccurate. Transcripts are provided for your convenience only, are not verbatim records, and may not be legally relied upon.
- You agree not to use voicemail transcripts in any way that violates applicable privacy or defamation laws, or for any purpose other than managing your customer relationships through ServiceHelper.
- ServiceHelper is not liable for any recording consent violations arising from your use of the voicemail capture feature.
- You have the legal right to provide your contacts' personal information to ServiceHelper and to authorize ServiceHelper to process it for the purposes described in these Terms.
- Your collection and use of contact data complies with all applicable privacy, data protection, and consumer protection laws.
- You have obtained all necessary consents, permissions, and rights from any individual depicted in the Images prior to uploading them.
- You have the legal right to upload, use, and share the Images through the Services.
- The Images do not violate any applicable law, including privacy laws, right of publicity laws, or intellectual property rights of any third party.
- Reverse engineer, decompile, or disassemble the Services
- Copy, sell, resell, or commercially exploit the Services except as expressly permitted
- Use the Services to compete with ServiceHelper
- Share your account credentials with any third party
- Send spam, unsolicited messages, or messages to contacts who have not given legally sufficient, specific consent
- Upload contact lists that were purchased, rented, or obtained from third parties without verified, one-to-one consent
- Recontact contacts who have opted out, sent a STOP request, or whose consent has been revoked
- Send messages containing false, misleading, or deceptive content
- Impersonate any person, business, or entity in any message
- Send messages on behalf of any business other than your own registered account
- Use AI-generated content without reviewing it for accuracy and legal compliance before sending
- Send messages outside legally permitted hours or in violation of applicable quiet-hours rules
- Violate any applicable federal, state, or local law or regulation, including the TCPA, CAN-SPAM, or state mini-TCPA laws
- Use the platform to harass, threaten, or abuse any contact
- Attempt to circumvent opt-out processing, STOP handling, or any compliance mechanism
- Scrape data, use bots, or automate access to the Services without permission
- Circumvent security or access controls
- Infringe intellectual property or privacy rights of any third party
- We may offer free trials at our discretion.
- Paid subscriptions may be offered through the Apple App Store, Google Play Store, or other platforms.
- Billing, renewals, cancellations, and refunds are governed by the applicable platform's policies.
- We reserve the right to change our pricing and subscription fees at any time. Price changes will take effect at the start of the next billing cycle following the change, and we will update the relevant account page or notify you by email.
- Your use of the Services
- Your communications, content, or AI-approved messages
- Your violation of these Terms or any applicable law, including the TCPA, CAN-SPAM, state messaging laws, call recording laws, or data privacy laws
- Your failure to obtain required consents from contacts
- Any claim by a third party (including your customers) arising from your use of the Services
3. Description of the Services
ServiceHelper provides AI-assisted messaging, customer relationship management (CRM), and workflow tools designed for service professionals. The Services may include:

4. ServiceHelper Is a Technology Platform — You Are the Sender
ServiceHelper is a technology platform that enables you to communicate with your customers. You are the sender of all messages transmitted through the Services. ServiceHelper is not the sender, initiator, or co-sender of any message you transmit.
You represent and warrant that:
You agree to indemnify, defend, and hold harmless ServiceHelper and its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, fines, penalties, regulatory assessments, and costs (including reasonable attorneys' fees) arising from your use of the Services, including any claims alleging violations of the TCPA, the CAN-SPAM Act, state messaging or telemarketing laws, or any other applicable law.
5. AI-Generated Content — Review, Approval, and Responsibility
Some features of the Services use artificial intelligence to generate message drafts, recommendations, and insights. You acknowledge and agree that:
ServiceHelper reserves the right to use anonymized and aggregated usage data — not including your customers' personal information or your message content — to improve its services and AI systems.
6. Voicemail Capture and Call Recording
The voicemail capture feature records and transcribes calls forwarded to your ServiceHelper number. You acknowledge and agree that:
7. TCPA, A2P 10DLC, and Messaging Compliance
You are solely responsible for ensuring your use of ServiceHelper complies with all applicable laws, including the TCPA, the CAN-SPAM Act, state mini-TCPA laws, FCC regulations (including the January 26, 2026 one-to-one consent rules), and applicable telemarketing regulations.
SMS messages sent through the Services are delivered over carrier networks and require registration under Application-to-Person (A2P) 10-digit long code (10DLC) rules. ServiceHelper may require you to register your brand and messaging campaigns as a condition of using SMS features. Failure to register or comply with carrier requirements may result in message blocking or filtering, for which ServiceHelper is not liable.
Emerging state laws — including those in Utah, California, and Illinois — may require disclosure that messages were generated or assisted by artificial intelligence. You are responsible for monitoring and complying with any applicable AI disclosure requirements in the states where you and your customers are located.
8. Contact Data — Ownership, Processing, and Deletion
You retain ownership of your contact data. ServiceHelper processes contact data solely to provide the Services you have subscribed to, including generating messages, processing opt-outs, and providing voicemail transcriptions. ServiceHelper does not sell, rent, or share your contacts' personal information with third parties for marketing or other purposes.
You represent that:
Upon termination of your account, ServiceHelper will delete your contact data within thirty (30) days, subject to any retention required by applicable law. You may request earlier deletion by contacting support@servicehelper.ai.
9. Photo and Image Uploads
Certain features of the Services may allow you to upload, share, or transmit photographs, images, or other visual content ("Images"). By uploading Images, you represent and warrant that:
ServiceHelper is not responsible for any Images you upload without proper consent. You assume full liability for any claims, damages, or violations arising from your failure to obtain required consents before uploading Images.
10. License to Use the Services
Subject to these Terms, ServiceHelper grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes. You may not:

11. Acceptable Use and Prohibited Conduct
You agree not to use the Services to:

12. User Content and Data Responsibility
You are solely responsible for all content, data, and communications you create or send using the Services. You represent and warrant that your use of the Services complies with all applicable laws, including consumer protection laws, messaging laws, data privacy laws, and call recording laws. ServiceHelper is not responsible for the content of your messages or communications.
13. Third-Party Services
The Services integrate with third-party platforms, including telecommunications providers (such as Twilio for SMS delivery and call routing), AI providers for message generation and transcription, cloud infrastructure providers, and payment processors. ServiceHelper is not responsible for third-party services, which are governed by their own terms and policies. ServiceHelper requires all third-party processors to maintain appropriate security measures and to process data only for the purposes ServiceHelper specifies.
14. Free Trials, Subscriptions, and Payments
All fees are non-refundable unless otherwise required by applicable law or platform policy.
15. Account Suspension and Termination
ServiceHelper reserves the right to suspend or terminate your account immediately, with or without notice, if we determine in our sole discretion that you have violated these Terms or that continued operation of your account poses legal, regulatory, or reputational risk to ServiceHelper or any third party.
Termination does not relieve you of any indemnification obligations or liability for violations occurring before termination. Upon termination, your right to access the Services ceases. Upon termination, ServiceHelper will make reasonable efforts to cancel pending scheduled messages. ServiceHelper is not liable for messages that were already in delivery queues at the time of termination and that send before cancellation takes effect.
We may retain data as required by law or our Privacy Policy.
16. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
WE DO NOT GUARANTEE: UPTIME OR UNINTERRUPTED AVAILABILITY; ACCURACY OF AI-GENERATED CONTENT; MESSAGE DELIVERY (CARRIER FILTERING, NETWORK CONDITIONS, INVALID NUMBERS, OR RECIPIENT OPT-OUTS MAY PREVENT DELIVERY); OR ANY PARTICULAR RESULTS FROM USE OF THE SERVICES.
SERVICEHELPER IS NOT LIABLE FOR INACCURACIES IN AI-GENERATED CONTENT THAT YOU HAVE REVIEWED AND APPROVED FOR SENDING.
17. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SERVICEHELPER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, LOSS OF GOODWILL, OR CUSTOMER DISPUTES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
SERVICEHELPER IS NOT LIABLE FOR ANY FINES, PENALTIES, OR REGULATORY ASSESSMENTS ARISING FROM YOUR USE OF THE PLATFORM OR YOUR FAILURE TO COMPLY WITH APPLICABLE LAW, INCLUDING THE TCPA OR ANY STATE MESSAGING LAW.
SERVICEHELPER DOES NOT GUARANTEE MESSAGE DELIVERY. SERVICEHELPER IS NOT LIABLE FOR UNDELIVERED MESSAGES DUE TO CARRIER FILTERING, NETWORK CONDITIONS, INVALID NUMBERS, OR RECIPIENT OPT-OUTS.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING UNDER THESE TERMS SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO SERVICEHELPER IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

You agree to indemnify, defend, and hold harmless ServiceHelper and its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, losses, fines, penalties, regulatory assessments, and expenses (including reasonable attorneys' fees) arising from or relating to:
19. Governing Law and Dispute Resolution
19.1 Governing Law
These Terms are governed by the laws of the State of Massachusetts, USA, without regard to conflict-of-law principles.
19.2 Notice and Cure
Before initiating arbitration, you must provide ServiceHelper with written notice of your dispute at support@servicehelper.ai, describing the nature of the claim and the relief sought. ServiceHelper will have thirty (30) days from receipt of such notice to resolve the dispute informally. If the dispute is not resolved within that period, either party may initiate arbitration.
19.3 Mandatory Binding Individual Arbitration
ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICES SHALL BE RESOLVED BY BINDING INDIVIDUAL ARBITRATION ADMINISTERED BY THE AMERICAN ARBITRATION ASSOCIATION ("AAA") UNDER ITS COMMERCIAL ARBITRATION RULES, EXCEPT AS PROVIDED BELOW. THE ARBITRATION SHALL BE CONDUCTED ON AN INDIVIDUAL BASIS.
The arbitration shall take place in Massachusetts or by video conference. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
19.4 Class Action and Class Arbitration Waiver
YOU AND SERVICEHELPER EACH WAIVE THE RIGHT TO PARTICIPATE IN ANY CLASS ACTION LAWSUIT, CLASS ARBITRATION, COLLECTIVE ACTION, OR ANY OTHER REPRESENTATIVE PROCEEDING. ALL CLAIMS MUST BE BROUGHT IN YOUR OR SERVICEHELPER'S INDIVIDUAL CAPACITY ONLY. THIS WAIVER APPLIES TO ALL DISPUTES, INCLUDING THOSE BROUGHT UNDER THE TCPA OR ANY OTHER FEDERAL OR STATE LAW.
19.5 Injunctive Relief Exception
Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm, pending resolution by arbitration.
20. Changes to These Terms
We may update these Terms from time to time. We will update the "Last Updated" date and notify you of material changes via email or in-app notice. Continued use of the Services after changes become effective constitutes acceptance of the revised Terms.
